Thank you for using Plantino.

These Terms of Use (“Terms”) apply to your use of the Plantino mobile application, website, and related services (collectively, the “Services”).

These Terms form an agreement between you and Plantino Technologies, Inc., a Delaware corporation (“Plantino,” “we,” “our,” or “us”).

By accessing or using Plantino, you agree to these Terms. If you do not agree, please do not use the Services.

Our Privacy Policy explains how we collect and use personal information.

1. Who We Are

Plantino builds technology that helps people understand and care for their plants through plant identification, artificial intelligence, personalized care information, and interactive Plantling experiences.

2. Registration and Access

Minimum Age

You must be at least 13 years old, or the minimum age required in your country to consent to use the Services.

If you are under 18, you must have permission from a parent or legal guardian to use Plantino.

Accounts

Some Plantino features may be available without a registered account.

If you create an account, you must provide accurate information and keep access to your account secure.

You are responsible for activity that occurs through your account.

You may not sell, transfer, or make your account available to another person in a way that violates these Terms.

3. Using Plantino

Subject to your compliance with these Terms, Plantino grants you a personal, limited, non-exclusive, non-transferable, revocable right to access and use the Services for your own lawful use.

You may not:

• use Plantino for illegal, harmful, fraudulent, or abusive purposes;
• infringe, misappropriate, or violate the rights of others;
• copy, sell, rent, sublicense, distribute, or commercially exploit the Services except as permitted by us;
• attempt to reverse engineer, decompile, or discover source code or underlying systems except where prohibited from restricting this by law;
• interfere with or disrupt the operation or security of the Services;
• bypass technical restrictions, usage limits, or safety measures;
• use automated systems to scrape or extract data from Plantino without permission;
• introduce malware, malicious code, or harmful content; or
• use the Services in a way that could damage Plantino or interfere with another user’s use of the Services.

4. Third-Party Services

Plantino may rely on third-party services to provide certain features, such as authentication, artificial intelligence, plant identification, subscriptions, weather information, communications, or other functionality.

Third-party services may be subject to their own terms and privacy policies.

Plantino is not responsible for third-party services outside our control.

5. Your Content

You may provide photos, messages, plant information, voice input, names, notes, feedback, and other content to Plantino (“Input”).

Plantino may generate responses, plant identifications, recommendations, images, character content, or other results based on your Input (“Output”).

Input and Output are collectively referred to as “Content.”

Your Input

You retain any ownership rights you have in the Input you provide.

You are responsible for your Input and represent that you have the rights and permissions necessary to provide it to Plantino.

Please do not upload content that:

• infringes another person’s rights;
• contains unlawful material;
• includes private or sensitive information that you do not have the right to share; or
• contains images of other people without appropriate permission where permission is required.

Use of Your Content

You give Plantino the rights reasonably necessary to host, process, reproduce, analyze, transmit, and display your Content so we can provide, maintain, secure, personalize, and improve the Services.

Our handling of personal information is described in our Privacy Policy.

Output and Similarity

AI-generated Output may not be unique. Other users may receive similar responses, recommendations, character traits, or other Output.

Nothing in these Terms gives you ownership of Plantino’s trademarks, designs, characters, software, underlying systems, or other intellectual property.

6. AI, Plant Identification, and Care Information

Plantino uses artificial intelligence and automated systems to identify plants, analyze photos, generate conversations, and provide plant-care information.

AI and plant-identification systems are probabilistic and can be wrong.

You understand and agree that:

• plant identification may be inaccurate;
• health observations may be incomplete or incorrect;
• care recommendations may not be appropriate for every plant or situation;
• AI-generated responses should not be treated as guaranteed factual information; and
• important decisions should be verified using appropriate independent sources or professional advice.

Plant Safety

Do not rely on Plantino to determine whether a plant is safe to eat, touch, or keep around children or animals.

Many plants can be toxic to humans or pets.

If you are uncertain about plant toxicity, poisoning, ingestion, allergic reactions, or other safety issues, consult an appropriate qualified professional.

In an emergency, contact appropriate emergency services, poison control, a veterinarian, or another qualified professional.

Plantlings

Plantlings are fictional, AI-generated characters designed to make interacting with plant-care information more engaging.

A Plantling is not a living being and its personality, emotions, memories, or statements should not be interpreted as evidence that a plant has human consciousness or feelings.

7. Our Intellectual Property

Plantino Technologies, Inc. and its licensors own all rights, title, and interest in and to the Services, including the software, interface, graphics, designs, Plantlings, Leif, branding, trademarks, logos, characters, text, and other Plantino-created materials, except for Content owned by users or third parties.

These Terms do not grant you any right to use Plantino’s name, trademarks, logos, characters, or branding except as necessary to use the Services normally.

8. Feedback

We welcome suggestions, ideas, and feedback about Plantino.

If you provide feedback, you agree that Plantino may use it without restriction or compensation to you.

9. Plantino Pro and Purchases

Certain Plantino features may require a paid subscription.

Billing

Subscriptions purchased through the Apple App Store are billed through your Apple ID and are subject to Apple’s payment terms.

Plantino does not receive your full payment card information.

Automatic Renewal

Paid subscriptions automatically renew unless canceled before the end of the current subscription period in accordance with the applicable app-store rules.

If a free trial is offered, it may convert to a paid subscription when the trial ends unless you cancel before renewal.

Cancellation

You may manage or cancel an Apple subscription through:

iPhone Settings → your name → Subscriptions

Deleting your Plantino account does not automatically cancel an App Store subscription.

Refunds

Refund requests for purchases made through the Apple App Store are handled by Apple under its applicable policies and applicable law.

Prices

Prices, subscription periods, trial availability, and promotional offers may vary by country, currency, storefront, eligibility, or other factors.

We may change subscription prices in the future in accordance with applicable law and app-store requirements.

10. Termination and Suspension

You may stop using Plantino at any time.

You may delete your account using the account-deletion controls made available in the Services.

We may suspend or terminate access to Plantino if we reasonably determine that:

• you materially violated these Terms;
• your use creates a security, legal, fraud, or abuse risk;
• suspension is necessary to protect Plantino or other users; or
• we are required to do so by law.

Where appropriate, we may provide notice or an opportunity to contact us regarding the suspension or termination.

11. Changes or Discontinuation of the Services

Plantino is an evolving product.

We may add, remove, modify, suspend, or discontinue features from time to time.

We will try to provide reasonable notice if we discontinue a material paid service where notice is practical.

Nothing in these Terms guarantees that any particular feature will always remain available.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PLANTINO TECHNOLOGIES, INC. MAKES NO WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, SECURE, OR FREE FROM LOSS.

WE DO NOT GUARANTEE THE ACCURACY OF PLANT IDENTIFICATION, HEALTH ANALYSIS, CARE RECOMMENDATIONS, WEATHER-BASED GUIDANCE, AI-GENERATED CONTENT, OR OTHER OUTPUT.

YOU USE PLANTINO AND RELY ON ITS OUTPUT AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANTINO TECHNOLOGIES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANTINO TECHNOLOGIES, INC.’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO PLANTINO FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.

In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

To the extent permitted by law, if you use Plantino on behalf of a business or organization, that business or organization agrees to indemnify and hold harmless Plantino Technologies, Inc. and its personnel from claims, liabilities, damages, losses, and expenses arising from:

• its use of the Services;
• its Content;
• its violation of these Terms; or
• its violation of applicable law or another person’s rights.

This section does not impose a business indemnity obligation on individual consumers acting solely in their personal capacity.

15. Apple App Store Terms

If you download Plantino through Apple’s App Store, you acknowledge and agree that:

• these Terms are between you and Plantino Technologies, Inc., not Apple;
• Plantino, not Apple, is responsible for Plantino and its content;
• Apple has no obligation to provide maintenance or support for Plantino;
• to the extent any warranty applies and Plantino fails to conform to it, you may notify Apple, and Apple may refund the purchase price, if any, as required by its policies and applicable law;
• Apple is not responsible for claims relating to Plantino, including product liability, consumer-protection, privacy, regulatory, or intellectual-property claims;
• you must comply with applicable third-party terms when using Plantino; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable App Store provisions against you.

16. Trade and Legal Compliance

You may use Plantino only in compliance with applicable laws.

You may not use the Services in violation of applicable sanctions, export-control laws, or other trade restrictions.

You represent that you are not prohibited from receiving the Services under applicable law.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except where applicable consumer law requires otherwise.

Before filing a formal legal claim, you and Plantino agree to make a reasonable effort to resolve the issue informally.

If a dispute cannot be resolved informally, any legal proceeding arising from these Terms or the Services will be brought in a court of competent jurisdiction as permitted by applicable law.

18. Changes to These Terms

We may update these Terms from time to time as Plantino evolves or as required by law, regulation, security considerations, or changes to the Services.

If a change materially affects your rights, we may provide additional notice where required by law.

The updated Terms will show the date they became effective.

If you continue using Plantino after updated Terms take effect, your continued use means you accept the updated Terms to the extent permitted by law.

19. General Terms

Entire Agreement

These Terms and the Privacy Policy, together with any additional terms that apply to a specific feature, constitute the agreement between you and Plantino regarding the Services.

Assignment

You may not assign your rights or obligations under these Terms without our consent.

Plantino may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

No Waiver

If we do not enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
